These Terms and Conditions of Service (the “Terms”) constitute a binding agreement between you (the “customer,” “user,” or “you”) and Bamar Design LLC, doing business as Mr. Beni (“Mr. Beni,” “we,” “our,” or “us”).

By accessing our website, using our services, or making a purchase, you acknowledge that you have read, understood, and agreed to these Terms, as well as any policies incorporated herein by reference.

If you do not agree to these Terms, you must refrain from using our services or making a purchase.

Nothing in these Terms is intended to limit any consumer rights that cannot legally be excluded or waived under applicable law.

1. Nature of the Service

Mr. Beni creates personalized artwork based on photographs, information, instructions, and personalization choices provided by each customer.

Each piece is individually developed through a creative, artistic, and handcrafted process. For this reason, our service is interpretive in nature and not merely reproductive.

The resulting artwork constitutes an artistic interpretation of the pet and materials provided by the customer and is not intended to be an exact photographic reproduction.

Mr. Beni reserves the right to refuse or cancel an order when there are reasonable grounds to do so, including, without limitation:

• technical or artistic inability to fulfill the order;

• illegal content or content that infringes the rights of third parties;

• reasonable suspicion of fraud;

• obvious pricing or availability errors;

• abusive or bad-faith behavior;

• requests that are incompatible with our services or creative standards.

When Mr. Beni cancels an order for reasons not attributable to the customer, a refund will be issued as appropriate under the circumstances and applicable law.

2. Use of the Website

By using our website, you agree to:

• provide true, complete, and current information;

• not use false identities or engage in fraudulent activity;

• not use the website for illegal or unauthorized activities;

• not interfere with the operation or security of the website;

• not upload content that infringes copyrights, trademarks, privacy rights, publicity rights, or other third-party rights;

• not provide materials that you are not legally authorized to use.

Mr. Beni may restrict or suspend access to its services when there is reasonable evidence of fraud, abuse, unlawful activity, or a violation of these Terms.

3. Orders and Commencement of the Creative Process

To place an order, the customer must provide the requested information and materials and successfully complete the applicable payment.

Once payment has been confirmed and the initial cancellation period established in our Cancellation, Returns and Refunds Policy has expired, Mr. Beni may begin the creative process for the artwork.

This process may include, among other stages:

• review of the materials provided;

• composition development;

• artistic interpretation;

• illustration;

• personalization;

• review;

• presentation of the final design;

• applicable adjustments.

The physical creation of the artwork on canvas will not begin until the customer has provided final approval of the composition.

4. Photographs, Information, and Content Provided by the Customer

By submitting photographs, text, names, images, or other materials to Mr. Beni, the customer represents and warrants that:

• they own the necessary rights to use such materials; or

• they have sufficient authorization from the lawful rights holder to provide and use such materials for the purpose of creating the requested artwork.

The customer grants Mr. Beni a limited authorization to use such materials solely to the extent necessary to provide the service, create the artwork, manage the order, and perform activities reasonably related to its production.

Mr. Beni is not required to verify ownership of each photograph or material provided by the customer.

The customer shall be responsible for third-party claims arising directly from materials provided without the necessary rights or authorizations.

5. Photograph Quality

The quality and characteristics of the photographs provided directly affect the artistic interpretation of the artwork.

We recommend using photographs that are:

• clear and high-resolution;

• adequately lit;

• free of filters that significantly alter colors;

• clear enough to show the pet's main features;

• taken from an angle appropriate for the desired composition.

Mr. Beni will create the artwork based on the visual information available.

Elements, poses, expressions, anatomical characteristics, or details that are not visible in the original photographs may require additional references and cannot be reproduced or interpreted accurately when sufficient visual information is not available.

6. Artistic Nature of the Result

The customer acknowledges that each creation constitutes an individual artistic interpretation.

Accordingly:

• the result is not an exact photographic reproduction;

• reasonable artistic variations may occur in color, proportions, details, brushwork, or composition;

• the appearance of colors may vary between different screens and devices;

• minor differences may exist between the final design and the physical artwork on canvas;

• certain characteristics will depend on the quality, lighting, perspective, and resolution of the photographs provided.

Unless a different composition is expressly agreed upon before the service begins, illustrations may follow the compositional parameters indicated in the description of the purchased product.

Such variations shall not, by themselves, constitute a defect when the physical artwork substantially corresponds to the composition approved by the customer.

7. The Reveal and Approval Process

Before the final creation of the artwork on canvas, the customer will receive the final design for review and approval.

This stage is an essential part of the Mr. Beni process and allows the customer to consider the composition as a whole and request adjustments included within the purchased service.

When requested adjustments are compatible with the materials originally provided and with the characteristics of the purchased artwork, Mr. Beni will work on those adjustments during the approval stage.

Requests involving substantial changes to the composition, replacement of reference photographs after work has begun, significant changes to pose, expression, perspective, pet, or other elements that require the creation of a substantially different composition may be subject to additional fees.

Any such fees will be communicated before the additional work is performed.

8. Final Approval

An artwork will only be considered approved when the customer has expressly communicated final approval through one of the communication channels designated by Mr. Beni.

The customer's failure to respond will not constitute automatic approval.

By providing final approval, the customer confirms that:

• they have had the opportunity to review the artwork;

• they accept the composition presented;

• they accept the artistic interpretation;

• they accept the visible personalization elements;

• they authorize Mr. Beni to proceed with the physical creation of the piece.

Once final approval has been received, the composition will be considered final, and cancellations, refunds, or claims based solely on subjective preferences or elements that were visible and accepted during the approval stage will not be accepted.

This does not affect valid claims relating to material defects, damage, incorrect products, or other rights that cannot legally be excluded under applicable law.

9. Cancellations and Refunds

Cancellations will be governed by the stage at which the order is in the process.

Within the First 24 Hours

The customer may request cancellation within the first twenty-four (24) hours following confirmation and payment of the order.

In this case, a 100% refund of the amount paid will be issued.

After 24 Hours and Before Final Approval

Once the first twenty-four (24) hours have passed, the creative process will be considered to have begun.

If the customer requests cancellation after this point but before providing final approval, a refund equal to 50% of the total amount paid will be issued.

The remaining 50% corresponds to the creative, artistic, administrative, and personalization work performed up to that point.

After Final Approval

Once final approval has been provided, the order is considered final, and cancellations or refunds will not be accepted due to a change of mind, personal preferences, subjective expectations, or elements previously approved by the customer.

10. Order Modifications

Adjustments may be requested during the creative process, subject to the conditions applicable to the purchased service.

Modifications must be requested before final approval.

Once final approval has been provided, no further changes to the composition will be made.

When a request reasonably exceeds the adjustments included in the original service—for example, replacing the primary photograph, significantly changing the pose or expression, completely modifying the composition, or adding elements that were not originally requested—Mr. Beni may:

• request additional information;

• charge an additional fee;

• establish a new estimated timeline; or

• decline the modification when it is not technically or artistically feasible.

11. Customer Inactivity or Failure to Respond

When information, documentation, or customer approval is required to proceed with an order, the process may be temporarily placed on hold until a response is received.

Mr. Beni may send reminders using the contact information provided during the purchase.

Failure to respond will not constitute automatic approval of the artwork.

When an extended period passes without a response, Mr. Beni may classify the order as inactive or abandoned after making reasonable efforts to contact the customer.

The consequences applicable to abandoned or unclaimed orders will be governed by our Cancellation, Returns and Refunds Policy and applicable law.

12. Creation, Production, and Delivery Times

Any timelines provided for design, approval, production, and delivery are reasonable estimates and are not guaranteed dates, unless Mr. Beni expressly states otherwise.

Timelines may vary due to:

• complexity of the artwork;

• number of revisions requested;

• customer response times;

• current demand;

• material availability;

• production processes;

• logistical circumstances;

• events beyond Mr. Beni's reasonable control.

Creation and production time is separate from shipping and transit time.

When a material delay occurs that legally requires additional alternatives to be offered to the customer, Mr. Beni will act in accordance with applicable law.

13. Production and Third-Party Providers

Mr. Beni may use specialized third-party providers for certain processes related to manufacturing, printing, framing, packaging, payment processing, logistics, or shipping.

The use of such providers does not alter the contractual relationship between Mr. Beni and the customer.

Reasonable variations inherent to physical materials and production processes may occur. However, the involvement of a third-party provider does not eliminate any obligations Mr. Beni may have toward the customer under these Terms or applicable law.

When a production or shipping issue arises, Mr. Beni will remain the customer's point of contact and will manage the matter in accordance with the applicable policies.

14. Payments and Orders Through Partners

All orders for Mr. Beni products and artwork must be placed and paid for directly through the official Mr. Beni website.

Establishments, stores, professionals, collaborators, partners, or other third parties participating in our partnership programs are not authorized to receive payments, collect orders, process transactions, accept deposits, or complete purchases on behalf of Mr. Beni, unless expressly authorized in writing by Mr. Beni.

Partners may recommend our products, provide information about our services, display our artwork, provide access codes or links, and direct customers to our website. However, all purchases and payments must be completed directly through Mr. Beni's official channels.

Any payment made to a store, partner, or third party that has not been expressly authorized in writing by Mr. Beni will not constitute valid payment to Mr. Beni and will not create any obligation on the part of Mr. Beni to produce, deliver, or refund the order.

To maintain transaction security and ensure that the order is properly recorded, the customer must complete the purchase and payment process directly through the official Mr. Beni website.

Mr. Beni will not be responsible for payments, deposits, or transfers made directly to unauthorized third parties.

15. Pricing and Payments

Product and service prices may be changed at any time before a purchase is completed.

Price changes will not affect orders that have already been confirmed and paid for, unless an obvious error requires correction under applicable law.

The customer must complete the applicable payment before order processing may begin.

By providing a payment method, the customer represents that they are authorized to use it.

Mr. Beni may cancel or suspend a transaction when there is reasonable evidence of:

• fraud;

• unauthorized use of a payment method;

• false payment information;

• an obvious pricing error;

• manipulation of the purchasing process.

16. Shipping and Delivery

Delivery times provided are estimates and may be affected by circumstances beyond Mr. Beni's reasonable control.

The customer is responsible for providing a correct, complete, and accessible shipping address.

When an order cannot be delivered solely because of incorrect or incomplete information provided by the customer, additional charges may apply for reshipment.

If the carrier's tracking information indicates that an order has been delivered but the customer states that it was not received, Mr. Beni will initiate an investigation with the applicable carrier and review the circumstances surrounding the delivery. We may request additional information or documentation and the customer's cooperation as part of this process.

Carrier delivery confirmation may be used as evidence of delivery, without prejudice to any additional investigation or legal rights available to the consumer.

17. Shipping Damage and THE SIGNATURE

In the exceptional event that an artwork arrives significantly damaged as a result of transportation, the customer must contact Mr. Beni within seven (7) calendar days following delivery.

We may request photographs of:

• the artwork;

• the damage;

• the interior and exterior packaging;

• the shipping label.

Eligible pieces will be protected by THE SIGNATURE, our shipping protection coverage.

Mr. Beni will evaluate each case individually and determine an appropriate resolution, which may include, depending on the circumstances, repair, replacement, recreation of the artwork, replacement of components, refund, or another reasonable solution.

When necessary, Mr. Beni may investigate the circumstances with the applicable shipping carrier to determine what occurred during transportation.

Responsibility for shipping damage will not automatically be deemed transferred to the customer simply because the artwork has been delivered to the carrier.

18. Ownership of the Artwork and Intellectual Property

Once the purchase has been completed and the artwork has been delivered, the customer will own the physical object purchased, subject to these Terms.

The purchase of a physical artwork does not automatically transfer copyrights, commercial reproduction rights, trademarks, or other intellectual property rights associated with the illustration.

Unless expressly agreed otherwise in writing, the applicable intellectual property rights in the original illustrations and creations of Mr. Beni will remain with their respective owner.

The customer may not reproduce, commercialize, sublicense, or commercially use the artwork without prior authorization when such use is protected by applicable intellectual property rights.

19. Use of Artwork for Communications and Promotional Purposes

Mr. Beni may document its creations and use them to showcase its work, including in its portfolio, website, social media, editorial materials, and brand communications, always in accordance with applicable law and our Privacy Policy.

When an artwork contains personally identifiable information belonging to the customer or third parties, its use will be subject to applicable privacy and consent requirements.

The customer may request that their artwork not be publicly used for promotional purposes by contacting support@mrbeni.com.

Mr. Beni will make reasonable efforts to honor such request provided it is received before the content has been published or incorporated into materials that cannot reasonably be removed immediately.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Mr. Beni will not be liable for indirect, incidental, special, punitive, or consequential damages that are not the direct and foreseeable result of a breach attributable to Mr. Beni.

Nothing in these Terms is intended to exclude or limit liability for:

• fraud;

• willful misconduct;

• conduct for which liability cannot legally be excluded;

• mandatory consumer rights;

• any other liability whose exclusion is prohibited by applicable law.

Mr. Beni will not be responsible for consequences directly arising from inaccurate information, inadequate photographs, incomplete instructions, or materials provided by the customer when such circumstances are not attributable to Mr. Beni.

21. Indemnification for Customer-Provided Content

To the extent permitted by applicable law, the customer agrees to indemnify and hold harmless Mr. Beni from reasonable third-party claims arising directly from:

• photographs or materials provided by the customer without authorization;

• infringement of third-party rights caused by content supplied by the customer;

• unlawful use of the website or our services;

• material breach of these Terms by the customer.

This provision does not require the customer to indemnify Mr. Beni for acts, errors, or breaches directly attributable to Mr. Beni.

22. Third-Party Services

Our website and services may use third-party providers for functions such as:

• payment processing;

• web hosting;

• production;

• shipping;

• analytics;

• communications;

• other technical functionality.

The use of third-party providers does not mean that Mr. Beni guarantees uninterrupted operation of services outside its control.

However, nothing in this section is intended to eliminate any responsibilities that Mr. Beni may legally have toward the customer.

23. Suspension or Termination of Service

Mr. Beni may suspend or terminate a user's access to certain services when there is reasonable cause, including:

• fraud or attempted fraud;

• material breach of these Terms;

• unlawful use of the website;

• threats, abuse, or harassment directed toward members of our team;

• infringement of third-party rights.

Suspension or termination will not affect rights or obligations that arose before the effective date.

When Mr. Beni chooses to cancel an order for reasons not attributable to the customer, the applicable refund will be determined in accordance with these Terms, our Cancellation, Returns and Refunds Policy, and applicable law.

24. Governing Law

These Terms and any dispute relating to them will be governed, to the extent permitted by applicable law, by the laws of the State of Delaware, United States, without prejudice to mandatory consumer protection laws that may apply in the customer's jurisdiction.

The selection of Delaware law is not intended to deprive a consumer of mandatory legal protections that cannot be contractually waived.

25. Dispute Resolution and Arbitration

25.1 Informal Resolution First

Before initiating a formal proceeding, you and Mr. Beni agree to attempt to resolve any dispute in good faith.

The party raising the dispute must send a written notice reasonably describing:

• the nature of the claim;

• the related order, when applicable;

• the relevant facts;

• the requested resolution.

Notice to Mr. Beni must be sent to support@mrbeni.com.

The parties will have thirty (30) days from receipt of the notice to attempt to reach a resolution before initiating arbitration, unless applicable law permits the proceeding to begin earlier.

25.2 Individual Arbitration

Except where applicable law provides otherwise, any dispute that cannot be resolved through the foregoing procedure will be resolved through individual, binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules in effect at the time the claim is filed.

The arbitration will be governed by the Federal Arbitration Act with respect to the interpretation and enforcement of the arbitration agreement, to the extent applicable.

Fees and administrative costs will be allocated in accordance with the applicable AAA rules and any mandatory applicable law.

The arbitration may be conducted through written submissions, videoconference, telephone, or an in-person hearing when appropriate under the applicable rules.

25.3 Small Claims Court

Nothing in this section prevents either you or Mr. Beni from bringing an individual claim in a competent small claims court, provided the dispute qualifies for that court.

25.4 Waiver of Jury Trial

To the extent permitted by law, you and Mr. Beni acknowledge that by agreeing to arbitration, you waive the right to have disputes subject to arbitration resolved through a jury trial.

25.5 Individual Actions

To the extent permitted by applicable law, disputes subject to arbitration must be brought individually and not as a class, consolidated, or representative action.

25.6 Voluntary Arbitration Opt-Out

The customer may choose not to be bound by this arbitration provision by sending written notice to workshop@mrbeni.com within thirty (30) days after the customer's first acceptance of these Terms.

The notice must state:

Subject: ARBITRATION OPT-OUT

and include the customer's name and the email address associated with their order or account.

Choosing to opt out of arbitration will not affect the customer's right to use Mr. Beni's products or services.

25.7 Non-Waivable Rights

Nothing in this section will limit either party's right to seek remedies that cannot legally be subject to arbitration, nor will it limit consumer rights whose waiver is prohibited by applicable law.

26. International Customers

When a customer is located in a jurisdiction that provides additional mandatory consumer rights, those rights will continue to apply to the extent required by applicable law.

In particular, certain jurisdictions may establish specific rules regarding warranties, defective products, consumer practices, privacy, cancellations, and dispute resolution.

Nothing in these Terms is intended to replace mandatory provisions that legally take precedence over a private contract.

27. Relationship with Other Policies

These Terms should be interpreted together with the other Mr. Beni policies, including:

• Cancellation, Returns and Refunds Policy;

• Shipping Policy;

• Privacy Policy.

In the event of a conflict between these Terms and a specific policy concerning a particular matter, the applicable specific policy may prevail with respect to that matter, unless these Terms expressly provide otherwise.

In all cases, mandatory applicable laws will prevail.

28. Changes to These Terms

Mr. Beni may modify these Terms when necessary to reflect changes to our services, processes, policies, or legal requirements.

The version applicable to a purchase will, unless otherwise required by law, be the version in effect at the time the order was placed.

Subsequent changes will not retroactively modify the material terms of a previously confirmed order.

29. Severability and No Waiver

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent necessary to make it valid where legally possible.

The invalidity of any provision will not affect the validity of the remaining provisions.

Mr. Beni's failure to immediately exercise any right provided under these Terms will not constitute a permanent waiver of that right.

30. Entire Agreement

These Terms, together with the policies and conditions expressly incorporated by reference, constitute the agreement between the customer and Mr. Beni regarding the use of our services and purchases made through the website.
